B. Terms & Conditions of Use of this Website
WELCOME TO THE U SPORTS WEBSITE (“the Website”)!
The use of the Website is subject to terms and conditions hereinafter provided.
1. Ownership & Rights
(a) The Website is owned and operated by U Sports. U Sports reserves an absolute right to maintain, update, modify, suspend and discontinue with the Website or any part thereof (temporarily or permanently) without prior notice and without having to ascribe any reason.
(b) Your use of the Website after any changes, updates or modifications will constitute your agreement to the Terms and Conditions of Use and to all of the changes, updates or modifications. You are hereby advised and warned there may be a lapse of time in change.
(c) You shall not be entitled to claim for any loss or damage howsoever caused by any changes, updates, modifications, suspension or discontinuance (temporarily or permanently) of the Website or any part thereof.
(d) Information on the Website is provided for general information only and is not intended to be used or relied on by anyone for any purpose (whether commercial or otherwise). U Sports does not warrant the completeness, correctness, accuracy, timeliness, non-infringement, reliability, title, merchantability or fitness for any particular purpose of any information provided on the Website.
2. Access and Acceptance
(a) By accessing the Website, you unconditionally accept and shall be deemed to have accepted to be legally bound by these Terms and Conditions of Use. If you do not agree to these Terms and Conditions of Use, please log out and cease using the Website immediately.
(b) You further agree that you shall not in any circumstances hold U Sports liable for any loss or damage or claim arising, whether directly or indirectly by you or by any person authorized by you, from-
(i) any use of or access to the Website; or
(ii) any reliance on any information provided in the Website.
(c) U Sports reserves an absolute right to deny or restrict access to the Website or any part thereof to any particular person, or to block access from a particular internet address to the Website at any time without notice and without ascribing any reasons whatsoever.
3. Personal Data
(a) U Sports reserves all right to use, display and share with other government agencies your personal data furnished by you to the Website.
(b) The Website may be linked to or viewed by other internet or non-government sites and you agree that U Sports shall not be held liable or responsible if your personal data in the Website is captured or used or displayed by other internet or non-government sites.
4. Member and Forum conduct
(a) You shall refrain from using the Website or interact in any forum in an unlawful manner or cause any loss or damage to anyone or violate anyone's rights including but not limited to infringement of any intellectual property rights and the publication of offensive or defamatory materials including but not limited to photos, profiles, messages, notes, text, information, music, and videos.
(b) You are solely responsible for the contents in whatever form that you publish or display (hereinafter referred to as "Member Content") on the Website or during interaction in any forum, or transmit to other U Sports Website Members, including but not limited to photos, profiles, messages, notes, text, information, music, and videos.
(c) You shall refrain from using the Website to promote, advertise or offer to sell any goods or services for any commercial purpose or post any topics as an employee or agent of any related industries to the specific forum representing your brand(s) or service(s) or product(s).
(d) You shall refrain from hijacking any topic to your advantage or put up any information which is likely to mislead the other users or viewers or take part in any flame wars.
(e) You shall refrain from uploading, posting, emailing, transmitting or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
(f) U Sports may, but is not obligated to, review and delete any Member Content that, in the sole judgment of U Sports, might be offensive, inappropriate, illegal, or that might violate the rights, harm or threaten the safety of U Sports Website Members or users, or the public, without notice. U Sports assumes no responsibility for monitoring the Member Content or the conduct of its Members.
(g) You are solely responsible for your interactions with other U Sports Website Members, users or third parties. U Sports reserves the right, but has no obligation, to monitor disputes between you and other Members, users or third parties.
(h) You shall fully indemnify U Sports against any action, claim, demand, costs, charges, and expenses arising from or incurred by reason of any non-compliance with clause 4 and against all costs and damages which U Sports may incur in any action for such non-compliance or for which U Sports may become liable in any such action.
C. Registration Data
1. Undertakings
You undertake
(i) to provide true, accurate, current and complete information about yourself as prompted by any registration form (such information being the "Registration Data");
(ii) to maintain the security of your password and identification;
(iii) to promptly update the Registration Data;
(iv) to be fully responsible for all use of your account and for any action that may take place arising from the use of your account; and
(v) not to create any fictitious account or registering multiple membership accounts to represent different individuals.
2. Non compliance
U Sports may suspend or terminate your account (temporarily or permanently) if you are in breach of any of your undertakings set out in the preceding clause.
D. License & Indemnity
1. As U Sports Website member. you are deemed to have granted permission to U Sports, at its discretion, to use the Member Content, Registration Data or materials in whatever form for any purposes. You further grant U Sports a world-wide, royalty free, non-revocable and non-exclusive license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Member Content, Registration Data or materials in whatever form.
2. You shall indemnify and hold the Government of the Republic of Singapore and or U Sports and their respective officers, agents or contractors, harmless from any claim or demand, including reasonable legal fees and expenses, made by any third party in connection with or arising out of the Member Content, Registration Data and materials in whatever form you submit, post, transmit or make available through the Website and or your use of the Website.
E. Intellectual Property Rights
(a) The Website is protected by copyright, trademark and other form of intellectual property rights. All rights, titles and interest in the Website are owned by, licensed to or controlled by U Sports.
(b) Except as otherwise provided, the contents of the Website shall not be reproduced, republished, uploaded, posted, transmitted, modified or otherwise distributed in any mode and manner without the prior written permission of U Sports and or its author.
(c) U Sports shall not be liable for any infringement or alleged infringement by any third party of the intellectual property rights of the Member Content, Registration Data, or your materials in whatever form submitted in the Website. U Sports will at your reasonable request (but shall not be obliged to) afford all available assistance to you for any intended claims lodged by you against any third party for any such infringement, and shall be paid any expenses incurred in so doing or shall be entitled to impose such terms and conditions for agreeing to render such assistance as U Sports may think fit and necessary.
F. General
1. Severability
If at any time any one or more of the terms and conditions hereof is determined to be or becomes inapplicable, illegal, invalid or unenforceable in any respect under the applicable laws of any jurisdiction, neither the inapplicability, legality, validity or enforceability of the remaining terms and conditions hereof, nor the inapplicability, legality, validity or enforceability of such terms or conditions under the applicable laws of any other jurisdiction, shall in any way be affected or impaired thereby.
2. Status of Website Members
Nothing herein shall create, or be deemed to create, a partnership or the relationship of principal and agent between U Sports and each of the U Sports Website Member or any other user or third party.
3. Translation
The Website may be translated into various other languages but the English version shall take precedence in all circumstances.
4. Dispute
Any dispute or difference on the rights, duties or obligations of any U Sports Website Members shall be referred to arbitration in accordance with the Singapore Arbitration Act (Cap. 16) and any statutory modification or re-enactment thereof for the time being in force.
5. Governing Law
These Terms and Conditions of Use shall be governed and construed in accordance with the laws of Singapore.
